Sammanfattning
Core-faciliteter har utvecklats till kritiska funktioner för forskning efter framsteg inom teknik och metoder som kräver specialiserad kompetens och
kostnadsdelning. Core-faciliteters uppdrag är att tillhandahålla avancerad metodik och teknik som tjänst till forskare. Detta särskiljer tydligt interaktionen mellan kunden och core-faciliteten från samarbeten mellan forskargrupper.
Arbetsgruppen har genomfört en enkät till föreståndare för core-faciliteter vilken visar att dessa i allmänhet är medvetna om KI:s "Riktlinjer om immateriella tillgångar och näringslivssamverkan", att core-faciliteter har tjänster som involverar Intellectual Property (IP)-frågor och att de riktlinjer för hantering av IP som finns har olika inriktning.
I vissa fall av core-facilitetstjänster, kan IP med syftet att ansöka om patent inte särskiljas mellan core-facilitetens personal och kunden med konsekvensen delat ägarskap av resultaten. I dessa fall anser arbetsgruppen att det är av stor
betydelse för core-facilitetens personal och kunden, oberoende av om kunden kommer från akademin, inom eller utanför KI, eller från en kommersiell aktör att frågor rörande ägande av IP förtydligas och föreslår att en policy införs.
Policyn bör utvecklas kring grundprincipen att det är forskningsledaren, användaren av core-facilitetens tjänster, som är ansvarig för att initiera
diskussion om eventuell kommersialisering av IP och beakta att core-faciliteter tillhandahåller service mot en avgift.
Eftersom alla core-faciliteter bör fokusera på service finner arbetsgruppen det inte motiverat att föreslå olika riktlinjer för olika core-faciliteter.
Arbetsgrupperna föreslår dessutom ett antal åtgärder för att öka kunskapen om, och tydligheten runt, IP i relation till core-facilitets tjänster inklusive
förtydliganden om vilka tjänster som omfattas av lärarundantaget, KI:s inställning när det gäller teknisk personal och IP, införandet av en rådgivande funktion dit frågeställningar runt IP- och core-facilitets tjänster kan hänföras och aktiviteter för att öka medvetenheten och diskutera IP och core-facilitetstjänster.

Summary
Core facilities have evolved to become critical for research following advancement in technologies and methodologies that require specialized competence and sharing of costs. “The mission of core facilities is to provide advanced methodology and technology as a service to researchers.”. This clearly distinguishes the interaction between the customer and the core facility from collaborations between research groups.
The working group has conducted a survey to core facility managers and concluded that in general core facility managers are aware of KI:s “Riktlinjer om immateriella tillgångar och näringslivssamverkan”, that core facilities have services that involve Intellectual Property (IP) issues and that, if policies regarding IP exist, they are not coherent.
In some cases of core facility service where IP for the purposes of filing for a patent cannot be separated between core facility personnel and the customer there will be joint ownership of the results. In these cases, the working group considers it of great importance for core facility personnel and the customer, being academic, within or outside KI, or commercial that questions around ownership of IP is clarified and proposes that a policy is implemented. The policy should be developed around the basic principle that the principal
investigator of a project, i.e. the user of a core facility, is responsible to initiate a discussion on the rights to commercialize and take into account that core
facilities operate as fee for service.
As all core facilities should focus on service, the working group does not find it motivated with different policies for different core facilities.
Additionally the working groups proposes a number of measures to increase knowledge and transparence of IP in relation to core facility services including clarification which positions are covered by the teacher’s exemption, KI:s position as regards technical staff and IP, implementation of an advisory
function where questions and issues regarding IP and core facility service should be referred and activities to raise awareness and discuss IP and core facility service.

Uppdraget
Genom ordförandebeslut i infrastrukturrådet tillsattes 22 mars, 2021,
”Arbetsgrupp för hantering av riktlinjer för IP för core-faciliteter vid KI” (dnr 1- 331/2021; Bilaga 1) med uppdrag att:
Inventera förekomsten av olika riktlinjer för IP vid KI:s core faciliteter.
Om behov finns, föreslå gemensamma riktlinjer för IP för core-faciliteter vid KI i tillägg till KI:s policy.
Särskilt utreda om det finns behov av olika riktlinjer för olika core- faciliteter.
Uppdraget redovisas till infrastrukturrådet senast den 30 september 2021.
Arbetsgrupp
Karin Dahlman-Wright har varit ordförande och Mats Andersson samordnare i arbetsgruppen.
Anna-Lena Gustavsson och Akos Vegvari är core-facilitetsföreståndare och har viss erfarenhet av frågeställningar runt IP kopplat till core-facilitetstjänster.
Jorge Ruas är användare av core-faciliteter vid KI och medlem i infrastrukturrådet.
Richard Cowburn är chef för External Engagement Office som bla innefattar samverkan med näringslivet. Han har också varit arbetsgruppens representant mot juristavdelningen.
Arbetssätt
Karin Dahlman-Wright och Mats Andersson har genomfört en enkät till core- facilitetsföreståndare (Bilagor 2a och 2b).
Arbetsgruppen har haft 4 möten den 15/6, 17/8, 31/8 och 21/9. Alla medlemmar deltog vid dessa möten. Därutöver har Richard Cowburn och Karin Dahlman- Wright haft möte med jurist Itziar De La Torre Abaurrea.

Bakgund
Core-facilities service versus collaborations between research groups There are several definitions of research infrastructure and core facilities but for simplicity, we will use core facilities throughout this document and the
definition from KI's home page “core facilities, providing service, resources and competence to academic research”. Looking into the future, the recent “Call for funding for core facilities within research for the time period 2022-2024” shows the expectations on core facilities for the next funding period by stating that
“The mission of core facilities is to provide advanced methodology and technology as a service to researchers.”, so that the user do not have to be an expert in that area. This clearly distinguishes the interaction between the customer and the core facility from collaborations between research groups.
This distinction is also seen at the level of funding. Core facilities at KI are typically financed by a combination of user fees from the customer and competitive government funding dedicated for core facility service, whereas collaborations between research groups at KI are typically funded by external and state grants to the individual research groups. To a lesser extent there are also dedicated funds (eg. Vetenskapsrådet, SciLifeLab pilot project etc) to perform method development where the facility usually is the driving force.
Development of core facilities and their role at the university
Core facilities have evolved to become critical for research following advancement in technologies and methodologies that require specialized competence and sharing of costs. Core facilities provide services where the product is often immediately useful to the customer. Core facilities occupy a niche distinct from the classical core activities of a university, research and education as well as what we typically refer to as support functions and financed via university overhead. Core facilities constitute advanced methodological and technical support functions with clear interfaces towards research and education.
KI core facilities are diverse as regards type of service, number of customers and turn over. However, they have highly qualified personnel that will, at different levels, contribute intellectual input as part of the service. KI has over time dedicated an increasing level of funds to support core facilities. The number of facilities being supported has expanded to 35-40, with the expectation of delivering a palette of services for KI researchers. KI has also invested in and encouraged the use of facility management routines to offer seamless service to users.

Intellectual property
The term Intellectual Property (IP) refers to creations of the mind, such as inventions, literary and artistic works, designs, and symbols, names and images used in commerce. There are several types of IP Rights (IPR), such as patents, designs, copyright and trademarks. IPR are protected in law and enables people to earn recognition or financial benefit from what they invent or create.
If an inventor wants to protect an invention for example by filing a patent application, then the applicant must ensure that everyone who has generated the invention is included on such an application. This is important to ensure clarity around ownership and to avoid potential claims and conflicts in the future.
At Swedish higher education institutions and universities, the researcher owns the right to his or her research results. This is called ”lärarundantaget” (teachers exemption) (LAU 1949:345).
KI core facilities include KI researchers and/or technical staff performing tasks requiring high technical skills, extensive experience and clear intellectual input.
For technical staff, in general, KI owns the right to any research results.
”Riktlinjer om immateriella tillgångar och näringslivssamverkan” (valid from 20180101; Bilaga 3) expands the teachers exemption beyond what can be claimed in a patent. The document was focused on interactions between KI and external parties whilst core facilities typically interact mainly with KI users and with external parties to a lesser extent.
Intellectual property at KI core-facilities
In core facilities, IP regarding technologies, methods and know-how used by the facility should remain with the researchers performing the work at the core facility. This case is not applicable to the service to users conducted by the core facility.
The ownership of results generated at the core facility but relating to the
research carried out by the user remains with the user. This is applicable to most cases of the service performed by the core facility.
Ultimately, in some cases where you cannot separate the IP for the purposes of filing for a patent, you would have joint ownership of the results. This could be applicable in some cases of service to users performed by the core facility. It is these cases, which are considered to be rare, where a policy is needed.

That a KI researcher has the right towards the university to own IP does not mean that such rights cannot be signed off for commercialization purposes. In line with this, core facility personnel, employed under the teacher exemption, can be included on a patent application if they have contributed to the generation of an invention but can then transfer commercialization rights to the user of the core facility services responsible for the study that led to the invention.
For technical staff at the core facility included in a patent application, KI in general, does not claim rights to commercialize.
Examples of core facility positions covered by the teacher exemption are researcher, research specialist and senior research specialist. Examples of core facility positions not covered by the teacher exemption are research engineer, technician, lab manager and project manager.
Intellectual Property (IP) survey to core facilities
A survey to mangers for core facilities receiving financial support from KI and Region Stockholm 2019-2021 was conducted during April 2021, with 19 out of 38 core-facilities responding (Bilagor 2a och 2b).
Question 1: Are you aware of KI:s current IP policy?
Answers: Of the responding core facilities 15 answered yes, two answered partly, one answered no and one core facility is organized within Region Stockholm.
Question 2: Does the core facility (CF) have services that involve IP issues?
Answers: Of the responding core facilities eight answered yes, nine answered no, one answered yes but this has not happened during a very long time of operation and one answered not directly but might contribute to user IP.
Question 3: If yes, have you been in contact with any unit at KI to discuss how to handle that. Which unit?
Answers: All except one of the core facilities who responded yes to question 2 answered yes to question 3. The contact had been with the legal department except in one case where it had been with the External Engagement Office.
Question 4: Does the CF have a formulated IP policy?
Answers: Seven core-facilities had some sort of policy.
From the above it can be concluded that in general core facility managers are aware of “Riktlinjer om immateriella tillgångar och näringslivssamverkan”
(valid from 20180101; Bilaga 3), that core facilities have services that involve IP issues and that, if policies exist, they are not coherent.

Considerations by the working group
The working group recognizes clear similarities as to how co-authorship on academic publications and inventorship on patents should be executed. It is the principal investigator of a project, i.e. the user of a core facility, that has the responsibility to secure that data in a publication (according to the Vancouver recommendations for authorship http://www.icmje.org/) or patent application is secured by the author list and named inventors, respectively. It follows from this, that it is not the responsibility of core facility staff to bring up questions about co-authorship and co-patenting upon handling requests for services. In those cases where core facility personnel have contributed to the invention that motivate co-inventorship, the principal investigator of a project, i.e. the user of a core facility should initiate discussions on rights to commercialize the invention.
Although this needs to be discussed for each individual case such discussions must consider that core facilities operate as fee for service and thus it is reasonable point of departure that core facility staff at KI do no demand rights regarding commercialization.
Clarity in ownership of IP will be relevant in KI:s interactions with the commercial sector. The importance of such interactions is emphasized in KI Strategy 2030 (https://staff.ki.se/media/89655/download) and further developed in Strategy for KI:s research infrastructure 2021 – 2024
(https://staff.ki.se/media/117565/download?attachment) “KI should investigate the conditions for collaborating with the commercial sector and seek to remove obstacles and regulatory ambiguities while protecting the conditions and interests of KI researchers and KI as an organisation.”.
The working group recognizes the need for new or developed policies as regards the specific cases where IP is generated jointly by core facility personnel and the customer. However, the working group is not assembled to draft such policies that require ie legal and HR competence as well as union representation, in addition to the competence and experience of the working group.
It is important to discuss co-authorship, IP and commercialization within the core facility community at KI.
As all core facilities should focus on service, the working group does not find it motivated with different policies for different core facilities.

The working group recognizes a need for better communication as regards which positions are covered by the teacher’s exemption.
It must be clear and transparent where questions and issues regarding the above should be referred within KI. An internal advisory body should be formed for this. The newly launched Single Point of Contact function (SPOC) could provide such a function (https://news.ki.se/easier-for-users-to-find-the-right- core-facility).
Recommendations by the working group The working group recommends:
That a KI policy is developed and decided for cases where you cannot separate the IP for filing a patent between core facility personnel and the principal investigator of a project, i.e. the user of a core facility,
That such a policy states:
That the principal investigator of a project, i.e. the user of a core facility is responsible to initiate a discussion on the rights to commercialize,
That such individual discussions must consider that core facilities operate as fee for service and thus it is reasonable point of
departure that core facility staff even under the teacher’s exemption at KI do no demand rights regarding
commercialization,
How KI will handle IP involving individuals not covered by the teacher exemption.
That the KI policy is reflected in service contracts signed between customers and core facilities. A generic text for this purpose should be provided and included in the contracts,
That it is clarified which positions are covered by the teacher’s exemption, That an advisory function is pointed out where questions and issues regarding IP and core facility service should be referred within KI,
That a workshop is organized for core facility staff to raise awareness and discuss IP and core facility service. The working group could organize such a workshop during the autumn of 2021, and
That the implementation of the recommendations in this report is followed up in Juni 2022.

Konsekvenser av förslagen
Om en policy ska tas fram och en generisk text utvecklas behöver resurser avsättas för detta inom juristavdelningen, External Engagement Office och Faculty Office and External Relations m fl.
Då den föreslagna policyn påverkar anställda måste fackliga företrädare inkluderas i ett eventuellt framtagande av policy.
SPOC funktionen vid KI får med förslaget ytterligare funktion en uppgift.

Lärarundantaget innebär att forskare och anställda vid svenska universitetet och högskolor äger rätten till sina forskningsresultat. Lärarundantaget ger forskaren möjlighet att söka patent och/eller upphovsrättsligt skydda sin forskning. Lärarundantaget ger även forskaren rätt samt möjlighet att besluta om var och när forskningen skall redovisas. Vid KI har ”Riktlinjer om
immateriella tillgångar och näringslivssamverkan” tagits fram för att
förtydliga innebörden av lärarundantaget (bil. 1). Dessa riktlinjer gäller från och med 2018-01-01. Utgångspunkten är att äganderätten till IP som skapas inom forskning och utbildning vid KI ska tillfalla upphovsmannen.
Uppdraget är att:

1. Inledning
Det är av stor vikt för Karolinska Institutet (KI) att forskningsresultat uppkomna vid universitetet kommer till allmän nytta genom samverkan eller
kommersialisering. Kommersialisering kan ske direkt av upphovsmannen genom t.ex. bolagsbildning eller genom överlåtelse till tredje part.
Utöver att bedriva forskning och utbildning ingår dessutom i KI:s uppdrag att samverka med det omgivande samhället. En stor del av samverkan sker med näringslivet. För KI innebär detta att immateriella tillgångar (IP)1 på olika sätt kan kommersialiseras och nyttiggöras och ge upphov till bland annat nya behandlingsmetoder och produkter till gagn för patienter.
I en akademisk miljö är intellektuellt skapande, delande av idéer och öppenhet centrala värdegrunder. Immateriella tillgångar är ett naturligt resultat av arbete inom den akademiska miljön och det är därför viktigt att säkerställa att KI:s och de anställdas intressen tillvaratas samtidigt som öppenhet och delande av kunskap eftersträvas.
2. Syfte
Syftet med dessa riktlinjer är att utifrån gällande regler och praxis vid KI tydliggöra hur immateriella tillgångar, material och resurser uppkomna genom forskning och utbildning inom KI ska hanteras samt vad som gäller vid
användning av dessa tillgångar.
Riktlinjerna uppfyller också EU-kommissionens rekommendation från 2008 att IP-riktlinjer tas fram för offentliga forskningsorganisationer (Commission recommendation on the management of intellectual property in knowledge transfer activities and Code of Practice for universities and other public research organisations).
3. Omfattning
Riktlinjerna gäller för samtliga anställda på KI om inte annat sägs.
4. Immateriella tillgångar skapade vid KI 4.1 Definition immateriella tillgångar
Med IP i dessa riktlinjer menas sådana immateriella tillgångar som har eller kan ha immaterialrättsligt skydd enligt gällande lagstiftning såsom patent,
upphovsrätt, varumärkes- och mönsterskydd men också allt sådant som utgör resultat av intellektuellt arbete t.ex. uppfinningar, kunskap, metoder, texter, sammanställningar, information, uträkningar, beräkningar och ritningar.

4.2 Äganderätt
Utgångspunkten är att äganderätten till IP som skapas inom forskning och utbildning vid KI ska tillfalla upphovsmannen.23
Upphovsmän kan vara såväl anställdasom studenter vid KI. För lärare, dvs. alla lärare och forskare enligt KI:s anställningsordning samt inskrivna doktorander, gäller en utvidgad rätt till patenterbara uppfinningar i jämförelse med vad som gäller i övriga arbetslivet. Detta är en konsekvens av dels lärarundantaget, dels den vidgade tolkningen av lärarens rättigheter till att omfatta mer än enbart patenterbara uppfinningar som följer av sedvana på KI. KI ska dock ha nyttjanderätt till IP ägd av forskarna i forsknings- och undervisningssyfte.
Eftersom studenter inte är anställda vid KI har KI inga anspråk på deras IP.
4.3 Undervisningsmaterial
Gällande undervisningsmaterial som en lärare tar fram i sin anställning, så är denne upphovsman till sådant material. KI har dock en nyttjanderätt till det undervisningsmaterial som tagits fram inom ramen för anställningen.
Nyttjanderätten innebär en rätt för KI att använda undervisningsmaterialet i KI:s normala verksamhet och för de undervisningsändamål som kunnat förutses vid undervisningsmaterialets tillkomst. Nyttjanderätten ger även KI rätt att
genomföra nödvändiga ändringar och uppdateringar av materialet.
Nyttjanderätten innefattar också en rätt att tillgängliggöra och framställa exemplar, såväl i tryck som i elektronisk form, samt lagra undervisnings- materialet. KI:s nyttjanderätt inskränker inte lärarens upphovsrätt till
undervisningsmaterialet vilket innebär att läraren bland annat har full frihet att använda undervisningsmaterialet för exempelvis produktion av läroböcker, artiklar, eller andra vetenskapliga verk och att använda det vid undervisning för annan huvudman.
4.4 Datorprogram
Gällande datorprogram som en lärare vid KI tar fram så är denne upphovsman till materialet och har full förfoganderätt över detta. KI har dock en nyttjanderätt till material som tas fram inom ramen för anställningen.
För datorprogram som på uppdrag av KI tas fram av externa konsulter ska avtal upprättas som reglerar ägande- och nyttjanderätten till datorprogrammet.
Datorprogram framtagna av externa konsulter och bekostade av KI kan kommersialiseras av lärare4 under förutsättning att KI ersätts för nedlagda kostnader i enlighet med principen om full kostnadstäckning.
I de fall där slutprodukten även innehåller patientdata eller annan data där speciella krav ställs, såsom etiska eller regulatoriska, måste förstås dessa

uppfyllas. Patientdata kan i vissa fall ägas av Stockholms läns landsting (SLL) och i dessa fall gäller regelverket för landstinget.
4.5 Tredje parts IP rättigheter
Anställda vid KI ska respektera tredje parts IP-rättigheter, dvs. inte göra intrång i annans IP rättigheter.
4.6 Konflikt- och tvistlösning
Utgångspunkten är att konflikter om rättigheter till akademiska verk och
tolkning av avtalsprinciper beskrivna i dessa riktlinjer i första hand ska lösas via medling eller annan informell process som hanteras av institutionerna.
4.7 Publicering
Det åligger forskaren att se till att dennes forskning publiceras eller på annat sätt görs allmänt tillgänglig. Vid publicering måste eventuell sekretess och
avtalsförpliktelser beaktas.
Forskare som avser att söka patent eller designskydd för IP uppmanas överväga att avvakta med publicering eller annat offentligt tillgängliggörande av samma IP till dess att en patent eller designansökan har inlämnats.
Forskningens och forskarens intresse av att publicera resultat kommer ibland i konflikt med finansierande företags kommersiella intressen, t ex. det så kallade nyhetskravet (endast uppfinningar som är "nya" innan patentansökan inges kan erhålla patenträttsligt skydd). Även om rättigheterna till resultaten överlåts, har forskaren ett legitimt intresse av att inom rimlig tid få publicera utan att låta sig hindras av rättighetshavarens eventuella framtida patentansökan. Avtalet ska därför innehålla en reglering av den längsta tid inom vilken forskaren inte tillåts att publicera resultaten. En normal tidsperiod kan vara sammanlagt 90 dagar.
5. Principer vid samverkans- och uppdragsforskning Samverkan kan bedrivas i många olika former och beroende på
samarbetsformen är det flera olika regler och riktlinjer på KI att ta hänsyn till.
I samverkans- och uppdragsforskning kan forskarens äganderätt till IP påverkas.
Vid både samverkans- och uppdragsforskning kan motparten erhålla ett ägande eller en nyttjanderätt som påverkar forskarens och KI:s rättigheter till IP.
Följande krav ska alltid ställas då KI ingår samarbeten med andra parter.
- Samarbeten ska ligga i linje med KI:s övergripande uppdrag som universitet inom medicin och hälsa.
- Alla samarbeten med extern part ska präglas av kvalitet, transparens och tydlighet.
- Samarbeten ska följa gällande regler, riktlinjer och etiska principer vid KI.
- Uppdrag eller anslag får inte tas emot om det riskerar att rubba allmänhetens förtroende för KI.

- I samtliga forskningssamarbeten ska KI-forskare och studenter tillåtas att publicera sina forskningsresultat.
- En förutsättning i alla avtal är att KI och dess forskare kan fortsätta bedriva forskning inom området. Ett minimikrav är att KI ska ha rätt att använda resultaten utan krav på ersättning för fortsatt forskning och undervisning (s.k. forskningslicens). Detta ska gälla oavsett av hur eventuell överföring av IP sker enligt avtal.
- Upphovsmannen ska äga den IP som han eller hon genererar. Detta kan frångås vid uppdragsforskning.
- Överlåtelse eller licens till IP ägd av upphovsman vid KI ska ske efter separat överenskommelse och mot marknadsmässig ersättning.
- Skriftligt avtal ska upprättas mellan parterna innan samarbetet.
- Samtliga forskare som ingår i samarbetet ska lämna sitt medgivande till avtalsinnehållet genom att teckna ett separat medgivande med KI.
Forskargruppsledare (PI) ansvarar för att samla ihop medgivanden.
5.1 Samverkansforskning
Samverkansforskning är gemensamma projekt med akademi, företag, stiftelse eller institut där samtliga parter bidrar aktivt samt delar kostnaderna eller bidrar med andra resursinsatser.
Samarbetet regleras i avtal och det är viktigt att äganderätten till IP regleras.
Forskningssamarbeten ska vara väl definierade och avgränsade för att inte riskera att ägande av IP utöver det som avtalas och som inte ingår i projektet överlåts oavsiktligt. Rätten till IP regleras olika beroende på vad det är för typ av samverkan. Rätten till bakgrunds-IP (s.k. Background IP) ska regleras innan samverkan påbörjas. Vid samverkan ska IP som huvudregel tillhöra den som har skapat den och rätt till IP för annan än upphovsmannen förutsätter full
kostnadstäckning. Om en samverkan innebär att ägande övergår eller nyttjande av IP licensieras till en samverkanspart ska ersättning betalas till
upphovsmannen motsvarande det marknadsmässiga värdet av IP-nyttjandet.
5.2 Uppdragsforskning
Uppdragsforskning är forskning där ett specifikt forskningsprojekt formulerats av uppdragsgivaren och där samtliga kostnader täcks av uppdragsgivaren, s.k.
full kostnadstäckning. En projektkalkyl ska göras för projektets kostnader för att säkerställa full kostnadstäckning och ska bl. a innehålla kostnader för personal, lokaler, material, apparatur och andra omkostnader (overhead eller INDI).
5.3 Samverkan med företag eller andra organisationer i vilka anställda har egna intressen
I vissa fall kan det finnas anledning för KI att inleda ett samarbete med företag eller organisationer som helt eller delvis ägs av en anställd eller där den
anställde har egna intressen.

För att upprätthålla förtroendet för KI gäller då, i tillägg till de regler som enligt ovan gäller för all KI:s samverkan med näringslivet inkl. KI:s holdingbolag och dess dotterbolag, att den anställde som har intressen i ett företag eller en
organisation i form av ägande, anställning, styrelseuppdrag eller liknande, inte under några förhållanden får delta i handläggningen av eller i beslut i ett ärende som rör institutionens förhållande till bolaget. Detta är viktigt för att undvika jäv och att avtalet eller beslutet blir ogiltigt. I ett sådant ärende gäller att beredningen ska ske vid universitetsförvaltningen och att beslut ska fattas av universitetsdirektören (se regler för hantering av bisysslor på KI).
I dessa situationer är det dessutom väsentligt att uppdragets omfattning och villkor är så avvägda att såväl enskilda forskares (inkl. doktoranders) som forskargruppens oberoende och opartiskhet värnas, samt att gällande regler och riktlinjer för jäv och bisysslor följs.
Universitetslärare4 har vissa utökade rättigheter att bedriva bisysslor, så kallade FoU-bisysslor. Dessa får vid sidan av sin anställning ha anställning, uppdrag eller utöva verksamhet som avser forskning eller utvecklingsarbete inom högskoleanställningens ämnesområde. Detta förutsatt att läraren genom
bisysslan inte skadar allmänhetens förtroende för universitetet. Bisysslan får inte vara arbetshindrande eller konkurrera med universitetets uppdragsverksamhet.
Bisysslan ska hållas klart åtskild från den anställdes ordinarie arbete vid KI.
Det är inte heller tillåtet att använda universitetets resurser eller varumärke vid utförande av bisyssla eller annan sidoverksamhet. Undantag kan göras om avtal tecknas mellan KI och anställd som avser begränsat nyttjande av apparatur och utrustning. Avtalet ska godkännas av universitetsdirektör eller rektor.
Förutsättningen är att det inte föreligger jäv samt att avtalen innebär full kostnadstäckning, se även KI:s regler för hantering av bisysslor.
Att ta ut ersättning för reguljärt arbete i form av konsultarvode till ett eget företag är som regel inte tillåtet.
Alla anställda vid KI ska rapportera bisysslor till prefekt eller motsvarande regelbundet. Lärare är även skyldiga att på eget initiativ rapportera nya eller förändrade bisysslor.
5.4 Deltagande av studenter och doktorander i externt finansierade projekt Studenter på grundutbildningar samt doktorander är primära författare till sina examensarbeten.
Projektarbeten i vilka studenter deltar kan kräva särskild reglering kring ägande och sekretess i förhållande till tredje part. Studenterna ska i sådana fall
informeras om eventuella regleringar som påverkar utförandet av projektarbetet samt ingå nödvändiga avtal innan arbetet påbörjas.
5.5 Uppdragsutbildning
Uppdragsutbildning innebär att KI utför utbildning åt en arbetsgivare för dess personal. Principen om full kostnadstäckning gäller. Prefekten ansvarar för att uppdragsutbildningen inte påverkar den anslagsfinansierade utbildningen

negativt. Beslut om uppdragsutbildning fattas av enheten för uppdrags- utbildning vid universitetsförvaltningen.
5.6 Rätt att teckna avtal
Vilken befattningshavare som har rätt att teckna avtal framgår av rektors besluts- och delegationsordning. Prefekts ansvar omfattar all verksamhet vid institutionen. I vissa fall ska prefekt fatta beslut i förening med annan
befattningshavare, exempelvis universitetsdirektör i enlighet med
delegationsordningen. Någon rätt för berörda forskare att själva teckna avtal för KI:s räkning föreligger vanligtvis inte, såvida inte de har fått befogenheten via delegation.
5.7 KI:s varumärke
Användningen av KI:s varumärke i kommunikation om samarbeten avgörs utifrån KI:s roll och möjlighet att påverka inriktningen i samarbetet samt av vem som är huvudsaklig avsändare. Huvudprincipen är att ingen användning av KI:s varumärke får ske utan skriftligt medgivande av KI. I avtal ska KI:s regler för användandet av varumärket alltid iakttas.
Utförliga regler och riktlinjer för hur KI:s namn och logotyp får användas framgår av KI:s varumärkesplattform samt riktlinjer för KI:s grafiska profil. Det finns även kanalspecifika anvisningar för exempelvis medierelationer,
nyhetspublicering och sociala medier under ”Kommunikation” på medarbetarportalen.
5.8 Offentlighetsprincipen och sekretess
Vid avtal med externa parter är det viktigt att beakta att KI är en statlig
myndighet. Offentlighetsprincipen innebär att allmänheten och media har rätt till insyn i och tillgång till information om myndighetens verksamhet. Denna rätt kan endast begränsas med stöd av offentlighets- och sekretesslagen (2009:400).
Det kan finnas stöd för att hålla vissa uppgifter i projekt med näringslivet hemliga. KI kan däremot inte i förväg genom avtal garantera en motpart att viss information ska omfattas av sekretess. Sekretessklausuler ska inte användas i sådan utsträckning att normalt informationsutbyte i forskningsmiljön hämmas.
6. Material och resurser 6.1 Biologiskt och kemiskt material
Ibland kan det vara aktuellt att inom ramen för samverkan med externa parter överföra biologiskt material såsom celler, antikroppar, vektorer, proteiner, djurmodeller eller kemiska substanser. I de fall KI har mottagit material som är förknippade med restriktioner i avtal med tredje part så måste materialet
behandlas i enlighet med det ingångna avtalet.
Kemiskt och biologiskt material som framtagits på KI av forskare anställda på KI ägs av KI. Material från forskningsprojekt kan dock överföras till företag under vissa förutsättningar. Ett avtal med den externa parten ska upprättas och alltid åtföljas av ett s.k. MTA (Material Transfer Agreement). Avtalen ska undertecknas av prefekt i enlighet med rektors besluts- och delegationsordning.
Materialet får endast användas för icke kommersiellt forskningssyfte.

Överföring av humant vävnadsmaterial i biobank ska följa gällande
biobankslagstiftning. Det är viktigt att uppmärksamma att SLL ofta ansvarar för patientmaterial och att SLL:s regelverk gäller för användning av
patientmaterialet.
Tillverkning eller produktion för försäljning vare sig det är i mindre eller i större skala är aldrig tillåtet. Endast forskningsmaterial som inte längre behövs för KI:s verksamhet eller blivit obrukbart kan komma ifråga för försäljning.5
Särskilt ska regler om jäv beaktas då den anställde har intresse i företag som köper det avyttrade materialet.
6.2 Forskningsdata
Forskningsdata i form av rådata och dokumentation som genereras i ett
forskningsprojekt eller som ingår som delar i ett forskningsarbete tillkommer KI och är inte den enskilde forskarens eller forskargruppens privata egendom, varken under pågående projekt eller när det avslutats. Detta gäller även om projektet finansierats med externa medel. Offentlighetsprincipen är tillämplig om inte uppgifterna omfattas av sekretess.
7. Arkivering
Forskningsdata ska göras tillgängligt genom registrering och arkivering (Dokumenthanteringsplan för Karolinska Institutets handlingar). KI:s forskare har inte själva rätten att avgöra vilken forskningsdata som kan förstöras.
8. Stödfunktioner vid KI
Anställda vid KI som tagit fram IP och som avser att kommersialisera denna har möjlighet att anmäla detta till KI:s innovationsfunktion och få stöd i den
fortsatta processen.
Vid samarbeten med amerikanska federala anslagsgivare såsom NIH förutsätts anslagsmottagarna rapportera nya uppfinningar i enlighet med dennes krav. Vid behov kan KI:s Grants Office kontaktas.

I. Definitions:
I.1. Intellectual property (IP) - whatever constitutes the product of intellectual work, such as inventions, knowledge, methods, protocols, texts, compilations, information, calculations, computations and drawings. IP may have legal protection (e.g., patent, copyright, trademark and design protection), but not necessarily [1, 4.1].
I.2. Research data – raw data and documentation describing how they were obtained, generated by or included in a research project. Research data are unchangeable; they cannot be corrected or improved at will. They are not IP. They belong to KI, which is a public institution. According to the Swedish Public Access to Information and Secrecy Act, non-secrete data belonging to a public institution must be archived, with archives being non-confidential and publicly available [1, 6.2; 7].
I.3. Researcher – every KI (and other university) employee or associated person performing scientific work (as opposed to technical, administrative, etc.) regularly (or irregularly but frequently). Ref. 1–610/2017 makes no distinction between CF staff and other KI personnel in calling them researchers [1]. Teachers are also considered researchers in some context (e.g., in “professor’s privilege” [2]), but some other texts speak of “researchers and teachers” (e.g., [1]).
I.4. Creator – a person who has created a literary or artistic work [3], or came up with an idea [3] or an invention [4], or has created IP by e.g. extracted information from Research data, drew a scientifically sound conclusion from Research data, or has generated a scientifically plausible hypothesis [5, “creator”].
I.5. Ownership – having absolute rights and legitimate claim to an object or IP, with or without physical possession of this object or IP documentation [5, “ownership”].

I.6. Information – new facts partially or totally resolving the existing uncertainty;
alternatively, data on an unexpected discovery or event that may increase the uncertainty.
The less expected the facts are, and the more uncertainty they change, the more information they contain [5, “Information”]. According to I.1, information is IP.
Information always has a creator, who according to I.4 is the owner of the generated IP.
I.7. Data analysis is a process of inspecting, cleansing, transforming and modeling Research data with the goal of discovering useful information, forming conclusions and supporting decision-making [5, “Data analysis”]. Any treatment of Research data that can be done in multiple ways is Data analysis. Choosing only one out of the multiple possible ways of Data analysis reduces the uncertainty, and thus is information. Thus, Data analysis always produces new information, and thus it generates IP.
I.8. User fee – the payment of the Customers to CF for producing Research data from their samples.
I.9. Rare or Unique method – an analytical method that has been used in few (e.g., <10) research articles explicitly, and/or by few (e.g., ≤3) research groups. This is in contrast to a Conventional method, that has been explicitly used in many (e.g. ≥10) research articles explicitly, and/or by many (e.g., >3) research groups. Rare or Unique method can be in sample preparation, experimental design or workflow, or data analysis.
I.10. Research – an occupation always associated with producing new information, and thus generating new IP. The use of a Rare or Unique analytical method is always considered to be Research.
I.11. (Scientific) Service - an occupation associated with producing Research data from a third-party (Customer, User) samples. Service is performed using Conventional analytical methods and generates no IP.
II. Basic principles
II.1. Researchers, teachers and students, including undergraduate students, that created IP, have ownership of it regardless of the funding source for the research that led to IP generation [1, 4.6]. All IP creators are recognized by Ref. 1 as having “professor’s privilege”
defined in Ref. 2.
II.2. KI has the right of use to IP created by KI researchers, teachers and registered PhD students for the purposes of research and teaching activities. Undergraduate students are not considered KI employees, and this rule doesn’t apply to them [1].
II.3. The researchers own the IP they created fully and as individuals [2], regardless of the position they occupy, whether it is in a CF or a research group, whether they are employed 100% or less, or get no salary from KI at all. Ownership of IP means that the researchers can transfer it for compensation (sell) to other individuals, companies,

government agencies, etc., or give it away, e.g., by transferring to public domain. KI, its departments, researcher groups, and individual researchers at KI who are not the IP creators have no material influence on these decisions and cannot order a KI researcher to dispose the IP they own in a specific way, unless this is explicitly written in their employment contracts.
II.4. Anyone who gave no intellectual input in producing IP is not considered creator of that IP. This is regardless of whether this person is a KI researcher or not, and whether or not this person provided technical and/or administrative help, and/or material of non- unique nature that were involved in IP creation [3-4]. The author of a Rare or Unique method materially used in the study is always considered to contributing an intellectual input into the study.
II.5. With rights comes responsibility. The IP creator is responsible for the veracity of the underlying information, and can be made responsible to prove it in case this IP is disseminated, such as in publications, patents, presentations, etc. This is so even if the creator has transferred the IP ownership to a third party.
II.6. Regarding the authorship principles, they are still discussed by the global scientific community. A special group of the Council of Science Editors (CSE's Authorship Task Force) has been created to debate the issues and prepare guidelines. However, there has been a consensus view saying that the authors should be able to explain why and how the observations were made, and how the conclusions follow from the data [6]. Therefore, the creators of information used in the paper should as a rule be co-authors.
III. Specific IP rules for CFs
III.1. CFs can conduct Own research, Contract analysis, Collaborative analysis and Collaborative research. The Customers must choose before the sample submission whether they want to perform Contract analysis or Collaborative research.
III.2. Own research at CFs can concern only Method development for their research area;
all other research purposes are pursued by other research groups. Own research of CF is funded by the competitive grants obtained from KI, SciLifeLab, VR or other agencies. All IP produced in Own research belongs to CF Researchers.
III.3.1 In Contract analysis, also known as Service job, the Customer provides samples with a certain scientific question in mind and formulates an analytical task for CF addressing the scientific question, while CF chooses a Conventional analytical method, prepares samples, performs a standard analytical experiment and delivers to the Customer Research data, without Data analysis. No new IP is generated in this process [I.2].
III.3.2. Contract analysis is funded by the User fees [I.8]. Note that the User fees do not cover Data analysis by CF.

III.3.3. Neither covers the User fee a Method development, should it be desired for performing Customer’s analysis. Thus, if there is no Conventional analytical method addressing the posed analytical question, CF cannot perform Contract analysis. Instead, CF can either use Rare or Unique analytical method, or attempt to develop a new analytical method, both within Collaborative research (see III.4.1).
III.3.4. In Contract analysis, Customer retains whole ownership on the IP related to the provided samples and scientific question, but also bears full responsibility for the veracity of the interpretation of these data in relation to the scientific question posed (see IV.4.2).
III.3.5. The Swedish law [7] requires all Research data to be archived and made publicly available [1]. In Contract analysis, upon CF transferring Research data to Customer, it is Customer’s obligation to follow these regulations and provide archiving and public access (usually after publication), as these functions are not covered by the User fee.
III.4.1. In Collaborative analysis, CF performs first Contract analysis generating Research data (without IP being produced), for which it collects a User fee from the Customer.
Besides that, CF also performs Method development and/or Data analysis. The latter is not covered by the User fee, but is funded instead by the grants from KI, SciLifeLab or VR, other agencies that CF wins in competition with other CFs.
III.4.2. By asking CF to perform Method development or Data analysis, the Customer engages in Collaboration with CF, as defined by the Item 5 of 1–610/2017 “Principles of collaborative and contract research”.
III.4.3. The IP produced in Method development, such as protocols, workflows, specific use of instruments and chemicals, etc., belongs to CF researchers, unless the intellectual contribution of the Customer was material for the method development, in which case the generated IP is a joint property of CF and Customer. The IP produced by CF in Data analysis is always a joint property of CF and Customer.
III.4.4. The Research data produced by CF in Collaborative analysis will be archived and made publicly available by CF (usually after publication) according to the Swedish law [7].
III.5. The Customer may wish to acquire the IP created by CF researchers in performing Collaborative analysis on Customer’s samples. In such case the IP rights will be transferred from CF to Customer against a separate compensation. The rules for such transfer are based on the principle II.3 (IP is the property of creators as individuals and not as KI employees) as well as the KI Rule that external as well as internal funding obtained by KI, regardless its origin, cannot be used for e.g. patenting KI researchers inventions, as the latter benefit them as individuals and do not directly benefit KI as organization (source - MBB administration). Therefore, the conditions of the IP transfer by CF researchers to other IP owners is a subject of negotiations between the IP owners, unless there is a special condition explicitly written in CF researchers’ employment contracts.
