Denna studie undersöker huruvida marknaden identifierar och värderar underliggande komponenter av goodwill. Den goodwill som uppstår i samband med rörelseförvärv bryts ut från övrig goodwill och sedan följs hur marknaden värderar komponenterna av den utbrutna goodwill när marknaden har nödvändig information om rörelseförvärvet. Komponenterna av goodwill som identifieras och undersöks är: värdet av ett företag som going-concern, synergieffekter av att kombinera de två företagen och en residual som är hänförlig till överbetalning.
Vi finner att den goodwill som utgörs av synergieffekter betraktas som en tillgång av marknaden medan den goodwill som marknaden identifierar som en residual istället påverkar marknadsvärdet av det förvärvande företaget negativt. Den goodwill som utgörs av värdet av företaget som en going-concern är inte statistiskt signifikant från 0, varför det inte analyseras vidare.
Ett resultat av studien är att marknaden identifierar komponenter av goodwill samt betraktar vissa av dem som en latent, förbrukad tillgång. Även om resultatet bör tolkas med försiktighet på grund av stickprovets storlek skulle resultatet kunna förklara varför nedskrivningar som genomförs av svenska börsföretag inte är värderelevanta. När nedskrivningar av goodwill genomförs och det finns en residual av goodwill, menar vi utifrån resultatet, att nedskrivningarna inte kommer vara värderelevanta förrän all goodwill som är hänförligt till överbetalning är nedskrivet. Resultatet att marknaden betraktar vissa komponenter av goodwill som förbrukad kan också förklara varför marknaden värderar goodwill lägre än andra tillgångar.
Detta får betydelse för ledningen av företag som genomför rörelseförvärv eftersom det tyder på att det finns viss diskrepans mellan ledningens och marknadens värdering av förvärvade företag. Resultatet är därmed även av intresse för den som granskar företag med upptaget goodwill. Att det finns en residual av goodwill som är hänförlig till överbetalning innebär att det sker en värdeöverföring från aktieägarna av det förvärvande företaget till aktieägarna av det företag som förvärvas, varför resultatet även är av intresse för aktieägare. Resultatet att marknaden betraktar en komponent av goodwill som förbrukad skulle även kunna förklara icke-värderelevansen av goodwillnedskrivningar som observerats av flertalet forskare. Resultaten visar att det finns mening med att se på goodwill utifrån komponenter eftersom marknaden tycks göra denna distinktion.
En studie som genomförs med samma metod men med ett större stickprov och eventuellt flera proxies för de olika komponenterna kan bidra med utökad förståelse för hur marknaden betraktar goodwill. Genom att utöka studien till fler länder som tillämpar IFRS kan antalet observationer ökas och därmed mer tillförlitliga resultat erhållas. En kvalitativ studie som utvecklar djupare förståelse för hur långivare, investerare, företagsledare och revisorer betraktar goodwill, skulle bidra med relevant insikt för denna komplexa tillgång.
