The By-Laws provide that:

1. The Board shall consist of as many as 16 directors.

2. There is no cumulative voting, that is, each member of the association is entitled to one vote for each nominee, not exceeding 4.

3. The By-Laws were amended and adopted on October 5, 1999 providing for four-year tenns for Directors.

The Board realizes that it will be difficult for many members to be at the election and for that reason we are enclosing a Proxy Card for use by the Proxy and Nominating Committee. Please sign and return this card to us before November 27, 2000 if you cannot attend the election. If you have a preference, please express your choice to a member of the Nominating Committee. If you signed a Proxy card last year, you will not need to re-sign as your Proxy is continuous until canceled in writing.

Copies of the financial statement of 2000 will be available at the meeting or will be mailed to you upon request.

The 1999 water year is over and it is time to renew your membership in GASP if you still need augmentation coverage. As we have indicated in recent years, we are looking at your responses on the renewal forms more closely than in the past and you may be contacted again if we have further questions.

Your renewal forms for 2000 and your reporting forms for 1999 are enclosed. They are the same as last year unless you requested changes. Please check them to be sure we have your account correct. Do not hesitate to call if you have questions.

At the 1999 annual meeting, the board of directors set the 2000 assessment at the same rate as last year. A summary sheet of the financial condition of GASP is enclosed so that you may see where GASP has invested your membership fees.

The board of directors would like to hear from you if you have ideas to improve GASP. Your attendance at meetings is always helpful. We take your comments seriously and try hard to provide the best service we can to keep your wells running without the need for further regulation.

Please fill your renewal forms out completely and return them with payment by March

By now, you will have noticed that your 1998 renewal form is different. If you will take the time to look i t over, you will see that the differences are minor.

GASP is in the process of making some long term evaluations of the impact of well pumping on river flows. So that our assumptions are as valid as possible, we need to know more about how you use your water and how you keep track of your water usage. One of the changes is a request for information about other water rights used on your farm or in conjunction with your GASP contract. If we know how much other water goes for irrigation on your property, that gives us an indication of when and to what degree your wells are used. At the bottom of the first page of your renewal form is a space for you to record that information.

The only other real change is the additional question about your method of computing your water well usage. Accurate water meters are the best way to measure your usage, but other ways may work and we would like to know more about your method.

The other changes for this year include an increase in fees. The record keeping that GASP does and the ever increasing involvement in water activities has required the Board of Directors to increase the staff and the activities of GASP. Your water rights are valuable and the Board has taken these measures to protect your wells from regulatory pressures. Also, most of the water that GASP acquires for augmentation is rented or pumped. Prices go up on our water supplies every year and we have no choice but to pay more if we want to continue to perform at our current high standard. We are continuing our efforts to buy and develop permanent

supplies.

Enclosed in this mailing is your-renewal form for

augmentation in 1997. It is identical to the ones you have been filling out for several years now. The documentation you have been providing for over the past decade is allowing GASP and other water officials to gain a much better

understanding of augmentation needs and the impacts to the South Platte River.

We are, however, living in a changing water and legal

environment. As such, more studies, research and reports are certain. In order to stay up with new demands, GASP will be changing and re-thinking some of our practices. One such change that will most likely occur is that the renewal form will be expanded to include more questions regarding your total water supply. Ditch water and reservoir water need to be documented as additional information

in

order to better analyze your complete water supply.

Fortunately, computers allow us to process information

in

larger amounts and

in

greater detail. Our computers at GASP are not now capable of these greater tasks, but we are

currently looking at upgrading our equipment. In the future, be ready for changes in our questionnaire. We are trying to do the best job we can for the membership.

1996 was a positive year

in

many ways. Runoff from snowpack was slightly above normal, and resulted

in

a decrease

in

competition for water. As such, GASP was able to conserve

in

some areas and the savings allowed us to make some

additional payments for permanent water. While we still have a long way to go, we continue to get closer to our goal of owning all of our water for augmentation. We will continue to be aggressive toward that goal.

We hope 1997 is another good year for GASP and for members. If we can be of help, please call or write or plan to attend a monthly meeting. Directors

GASP has completed its 23rd year of successful operation. 1995 was eventful in that we were able to purchase some much needed permanent water supplies. This strategy is consistent with our long term goal of becoming more self sufficient and less dependent on the rental water market. It will take many years to reach the goal, but we have a substantial start. If you need more information in this matter please let us know.

Enclosed is the renewal forms for 1996, including your

reporting forms for your 1995 activities. Please be careful when filling out the information. The courts and the State Engineer's office consider this information when you request new well permits or a change in use of your well

permit-Only accurate information will be helpful to you when you deal with water officials. We at GASP have very little

control over erroneous information or incomplete information that might adversely affect your water right. We try to spot obvious errors but some may get through without detection.

We hope 1996 is another good year for GASP and for members. If we can be of help, please call or write or plan to attend a monthly meeting. Directors in your area are also available to visit with you concerning your thoughts and your GASP members ip.

The PERMANENT well tag replaces the decals we have used in the past. The State Engineer suggested you place the ID tag as listed below:

FOR ELECTRIC POWERED WELLS

The best place to put the tag is probably on the outside of the electric control box, in a weather

protected location, if possible. From my observations, i t appears that the control box generally outlasts the pump and motor. The second best place would be to

attach the tag to the power pole, but only if the pole is near the well.

FOR HOB-ELECTRIC POWERED WELLS

The best place to put the tag is probably on the gear head of the well, again in the most weather protected location possible. This location should work for wells powered by in-place internal combustion engines and wells powered by tractor PTO's.

As most stockholders know, the Board of Directors of GASP has struggled for several years to deal with the cost

differential of water in the upper and lower river basin. It has become increasingly apparent that a difference exists in the cost of providing augmentation coverage, a difference that now is at a ratio of about 3 to 1 and must be

addressed.

Accordingly, the Annual Meeting held in December and the regular board meeting held on .January 3, 1995, dealt largely with the matter, and assessments were placed at $140.00 per unit in water districts 1 and 64 (below Kersey) and at

$160.00 per unit in all other districts (above Kersey). These are the first increases to take place for some time and it is hoped that in doing so, we can remain in both the rental and purchase market in pursuit of our short term goals of keeping well pumping available to users, and our long term goal of becoming self sufficient in the same pursuit.

In twenty two years of operation, GASP has been successful in keeping well pumping a dependable use of water within their legal limits and, at the same time, creating the remedy to senior water right depletion and injury. NO GASP MEMBER HAS EVER BEEN SHUT OFF DUE TO A PUMPING VIOLATION. To

reach these goals, we have developed well fields where needed, bought water rights where available, and helped develop recharge areas. Much of our supply has been rented water and it is our desire to make every effort to rent less and buy more, so that we can avoid, as much as possible, the escalating rental water prices over the long term.

We regret the need for cost increases, but it cannot be avoided. All of your board members pay membership fees just like any other member so everyone knows it's impact. We only hope that our service to the well user remains undiminished so that in years to come, we can always say no GASP member has ever been shut off because of no augmentation .

From it's beginnings in 1972, GASP has had rules and regulations which have been used to operate the organization. From time to time, rules have changed and assessments adjusted to better serve the needs of the membership. One practice which has never been altered is the method of assessing annual fees. The fees have always been the same for the use of every member well, be it agriculture, municipal or commercial. Fees have also been the same regardless of location. Only the amount of water pumped has been used to compute a membership fee.

Over the past few years a trend has developed wherein waters purchased or rented for augmentation use has escalated in price in the upper regions of our service area. Basin wide the cost of service to GASP customers has gotten well out of proportion. GASP is currently spending almost half of its revenues to furnish augmentation to about one fourth of its membership. This concerns the Board of Directors and so a proposal is being

contemplated.

At future meetings, the proposal to raise the 1992 assessment to all wells in water districts above the Kersey gauge to $160.00 per unit will be discussed. All well assessments in those districts below the Kersey gauge are expected to remain unchanged for 1992. If the trend continues, future rates will further reflect the costs.

We feel that this approach is more equitable and will allow GASP to serve you better for years to come. If you wish to have input into this change, please contact a director at your convenience or attend one of our upcoming meetings. We appreciate hearing your opinions. Thank You.
