Mr. Howard T. Ryan
American Dairy Association
of Colorado
955 Eleventh Street
Denver, Colorado 80204
We have received several checks from American Dairy Association of
Colorado totaling $6,
359.
86 thus far in 1968. These checks have not
been deposited pending a decision on our part as to whether or not
American Dairy Association should accept such token payments from
any member unit, lest this be construed as. being the level of investment
required for proper affiliation with the national organization.
In its meeting last week, the Executive Committee felt that American
Dairy Association should not accept further funds from American Dairy
Association of Colorado until we have resolved the present situation con
cerning services, materials, etc. They felt that we should, however,
remind dairy leaders in Colorado that all dairymen in that state are still
receiving benefits from research, public relations, food publicity and
industry coordination through the national organization.
The Executive Committee, and I personally, continue to hope that the
relationship between ADA of Colorado and the national organization will
be improved in the reasonable future.

Your letter with your check in the amount of $8,

66 is acknowledged.
Because of the earlier action of the Executive Committee on this matter
these funds cannot be accepted and deposited. Your check, therefore, is
enclosed.
As I have repeatedly stated, I most sincerely share your hope that problems
related to the relationships of dairy producers in Colorado and American
Dairy Association may be resolved. The basic premise still stands at present,
that acceptance of token payments from Colorado may be construed as the
required standard for affiliation, and is not in keeping with the requirements
of the Memorandum of Understanding.
As President Kern has informed you, we have a tentative plan to hold an
Executive Committee meeting in Colorado, provided that this be an oppor
tunity to meet with dairy leaders from your state whose presence would be
appropriate in a discussion of this kind. We
have tentatively agreed upon
the date of July 25 or 26. However, we have some business matters confront
ing the Executive Committee which may make it advisable to hold a meeting
previous to that time. We
should be in a position to decide on a specific date
for our next meeting by July 1 or perhaps sooner. At that time I will be in touch with you concerning further details.

Promptness will be especially important at this meeting sir>ce we will be going into joint session with the MEDA Board of Directors in the forenoon. There are several points we should discuss among ourselves prior to the meeting with the MEDA directors.
There has been no ccmununication from the National ADA office relative to acceptance of our re-submitted set-aside money. However, Troy Kern,
National ADA president, called to say that the National ADA Elxecutive Committee plauis to hold its July meeting in Denver.
"Marty will make the arrangements." according to Troy. More on this at our June 20th meeting.

HIGHLIGHT REPORT TO THE
BOARD
OF
DIRECTORS
'
ON
RECENT EXECUTIVE COMMITTEE
ACTIONS
A meeting of the Executive Committee was held in Chicago on July 14-15,
1968. This meeting included the usual financial reports which indicates
that while estimates of regular set-aside support for the year are above
1967, income to date to the organization for its regular program is approxi
mately the same as a year ago. Income budgeted for special market programs
as of this date totals more than five million dollars, up substantially from a
year ago.
In the report of the manager it was noted by the Committee that two new key
employees have been added to the staff of American Dairy Association,
James Devero, Market Research Manager, and William Richter, Jr.
,
Accounting Manager. It is anticipated that the Promotion Research Manager
will soon join American Dairy Association's staff.
A report on the growing problem of imitation milk was reviewed by the Com
mittee and it was reported that the market research on advertising strategies
against imitation milk has pow been completed and is being interpreted for use
in the advertising market test against imitations authorized by the Board.
American Dairy Association will produce a new film, tied to the 1968 Olympic
Games in Mexico City. A script is now being written and this film will be
approximately 28 minutes in length.
Plans for development of greater financial support for American Dairy
Association's research and development program are being made. Attached
is a brochure which outlines the need, the techniques to be used, and the
opportunities. Idea generation meetings organized by the Research and
Development staff have been taking place during recent weeks and are pro
ducing many important new ideas concerning new dairy products. As authorized
by the Board of Directors, the Executive Committee has authorized the transfer
of $250, 000 of reserve funds to the Research and Development Division, so that the consumer concept testing might proceed. .
The Committee considered a proposed plan whereby the functions and the
activities now being carried out by Dairy Society International might be
incorporated into our organization and that of the National Milk Producers
Federation by virtue of a cooperative agreement. This proposal is being
'
refined and will undoubtedly be brought to the attention of the Board of
Directors in their next meeting.
The Committee also studied a plan proposed by the staff whereby a new
technique for equitable sharing of all investments in the basic program of
American Dairy Association might be established in 1969. This plan would
in effect provide basic qualifications for the use of all advertising materials
by the member units of the organization. This plan is further being dealt with
also by the Study Committee in a meeting of that group to be held later this
month.
As a part of their activity this week the Executive Committee also met as
members of the National Dairy Council Board of Directors in a. special
meeting called to consider matters which were reviewed in a recent mailing
which you received on the National Dairy Council subject. Although the
proposal outlined in this mailing has had substantial support throughout the
country, at a recent special Board meeting of the National Dairy Council it
was decided to defer specific action regarding the approval or disapproval of
this plan in favor of further study. As a consequence, a committee from the
Board of the National Dairy Council is being appointed to work with a comparable
committee of American Dairy Association to examine more closely the specific
way in which this proposed consolidation might be brought about, and to make
recommendations to the respective Boards of American Dairy Association and
National Dairy Council.
The next meeting of the Executive Committee is tentatively planned for August
13-14, 1968. The Board of Directors meeting is scheduled for September
23-25 in Minneapolis, Minnesota. The Board Committees and the State Managers
will be meeting on September 23. The regular meeting of the Board will be
in session on September 24 and 25. Further information and reservation cards
Will be sent to you shortly.
M. J, FRAMBERGER - GENERAL MANAGER
Mr. William Wailes Mr. Adolph Bohlender Mr. Norman Weng Mr. Vic Tribelhorn Mr. C. A. Reid, Jr. Mr. A. H. Miller Mr. R. K. Alkire Gentlemen:
Please consider this notice of our next ADA of Colorado Executive Committee meeting which will be held at 10:30 AM, THURSDAY, July 18, 1968.
Your attendance will be in^xartant. TJiere will be a meeting the following week in Denver
with the special Study Committee of National ADA. This is a nine-man group which was
named for the express ptirpose of taking testimony around the country and coming up with
recommendations for improvement of ADA in both structure and program. The Study Committee made its first report at the ADA Annual Meeting in March. To give
you an idea of the direction this group has taken, a careful reading (or re-reading) of
the committee's first report and recommendations is urged. A copy is enclosed. It should be pointed out that the Study Ccwnmittee cannot act —
it can only recommend
to the Executive Committee and Board of Directors of national ADA. Two members of the National ADA Executive Committee are members of the Study Committee.
The National ADA Executive Committesis not coming to Denver at this time. They're being
called into Chicago for their July meeting because of priority assigned to the
ADA-Dairy Covincil merger.
President Wailes and myself were invited, and attended, a meeting sponsored by Milk
Producers, Inc., the big new 5-state, Texas-based co-op. Framberger and NDC's new
president, Ralph Charbeneau, pitched the merger at this meeting. MPI has taken it upon
itself to sponsor a series of these meetings all over the country. There are, of cotirse,
broader ramifications than the ADA-NDC merger involved. Each of you should hear a full reporl
on the Omaha meeting .
.
and we obviously have some work to do in getting our ducks in a
row for the Study Committee meeting.Let's make our July 18 Executive Committee meeting another "on-time, full attendance"
session. We've got work to do.
Minutes of our May 16 meeting and the June financial statement are enclosed.
Best regards.

PROM: AMERICAN DAIRY ASS0CIATICM4 of COLORADO

DATE: July 25, 1968
MEDA PROMOTION PROGRAM REPORT - HOWARD T. RYAN
Since the MEDA advertising/promotion program was reviewed Jointly by the
MEDA Board of Directors and the ADA of Colorado Executive Committee very recently,
this will be only a brief recap.
Judged by any reasonable standards, the past fiscal year has been one of marked
progress for MEDA on the advertising and promotion front.
There appears to be ample evidence that the new program, which has been
custom-tailored for the markets served by MEDA, is coming into its own in all major ob
jectives.
These objectives, as agreed upon by the MEDA Board and ADA of Colorado at the
outset, include (1) stimulation of fluid milk sales, (2) establishment of a basic
program with flexibility enough to permit extension of it through tie-in efforts by
handlers and food retailers, and (3) projection of a new updated image for MEDA and
the dairy industry in the area.
Aside from sales response, which has looked good in recent months.especially
when compared with national trends, the program has shown excellent results in its
tie-in and identity projection facets.
Beyond the efforts involved in application of point-of-sale display materials,
a substantial outlay has been made for time and spece purchases by handlers and retailers
for MEDA-produced milk advertising messages.
These advertising media tie-in expenditures by non-producer dairy and food
interests is estimated in ^cess of J20,000 since January 1, 1968, ~
and there are
indications that effort in this area will increase.
Significant, too, in a recap of the year's progress, has been the "sub-franchising"
of the basic MEDA program to the Western Colorado and Ft. Collins fluid milk cooperatives.
2-MEDA Report - 7/25/68
In separate, but similar, eurrangements the program has been made available on a "pay-your-ovm-way" basis to the state's other two co-ops. Reports from directors and
managers of both organizations are highly favorable after the first three months of
operation. Thus, it seems fedjr to say, MEDA has provided and performed a major service
to the dairy industry of the entire state since this is the first time all organized
milk producers in the area have been able to get together on a single promotion program.
While general progress has been excellent, there is little cause for, or inclina tion toward, complacency. Even without any new or extroadinary problems — such as imitation milk, inports or other unforeseeable market upheavals ~ we have a monumental amount of work ahead of us. Virtually anything and everything that can be swallowed by a human being must be considered a competitive product. : Slugging it out in the
market place with all forms of conpetitive products must be considered part of the dairy producer's method of doing business.
To some of us, it is depressing that no dairy conversation, meeting or report
seems complete, currently, without acknowledgement of the imitation threat. Such acknowledgement is made, herewith, only to assure MEDA directors and members that we
are not ignoring or ducking the issue. At this point, suffice it to say, that if and when imitations hit our markets in force, there are a number of ideas on the "backr burner" right now that can be effectuated in a matter of days vdien and if needed.
As for the immediate business at hand ... MEDA's promotion program might be conpared to a newly-forged tool which is both strong and versatile. Some honing
and refinement remain to be done to bring it to a point of maximum utility. It also
seems fair to predict that those of us vrtio use it will get "handier" with it through
daily useage.
You may be assured that every effort will be made to make the fullest use of
every promotion dollar made available for this program. In oiir ctirrent situation, it is virtually Impossible to overemphasize the need for advertising and promotion.

AMERICAN DAIRY ASSOCIATION OF COLORADO
EXECUTIVE COMMITTEE
September 30, 1968
MINUTES
The meeting was called to order by vice-president Adolph Bohlender. Present were
A. H. Miller, Vic Tribelhorn, R. K. Alkire, C. A. Reid, Jr. and Manager Ryan. Chair
man Bohlender appointed C. A. Reid as acting secretary.
Secretary Norman Weng, who did not receive a notice of the meeting because of a mail
ing error, was not present, and therefore, minutes of the September 4 meeting were
not read. A. Miller moved, V. Tribelhorn seconded, approval of the August, 1968 fi
nancial statement. Motion passed unanimously.
Vic Tribelhorn reported on the national ADA Fall Board meeting held August 23-27 in
Minneapolis, including unsuccessful attempts by Colorado to gain approval of certain
amendments to the new "affiliation agreement" between national ADA and member units. The Colorado amendments would have made it possible for member units to maintain affiliation through payments of their pro-rated share of costs involved in national
ADA'S resesurch, public relations, food publicity and other basic progreim services
while leaving member units a choice of buying the advertising portion of the national
ADA program or working with programs of their own choosing in their own areas. The
Colorado amendments were given some support, but failed to gain the majority necessaiy
for adoption. Thus, the proposed "affiliation agreement" was adopted essentially as
presented for discussion prior to the national Fall Board of Directors meeting.
Practical effect of the new agreement is that it will become necessary for ADA of
Colorado, if it wishes to maintain affiliation with national ADA, to approximately
double the amount remitted annually to national ADA. (The amount was $18,315 in 1967.
National ADA returned to Colorado all checks remitted in 1968 on grounds that "token"
payment is unacceptable.Considerable discussion developed regarding advantages of affiliation with national
ADA in relation to cost of such affiliation. Further study to be given and further
discussion required before January 1, 1968 by which time all member units are to sign
the new affiliation agreement.V. Tribelhorn moved, A. H. Miller seconded, adoption of procedure for election of di
rectors at fall co-op meetings as outlined by Manager Ryan. (See attached). Approved
unanimously.
A. Miller moved, R. Alkire seconded, approval of $100 donation to Colorado 4-H Dairy
Judging Team to aid in expenses involved in taking the Colorado team into national competition at Columbus, Ohio. Request was made by Colorado 4-H leader C. Staver.
Approved unanimously,
R. Alkire moved, V. Tribelhorn seconded, approval of $25 donation to a special program
sponsored by Colorado Sheriff's Association aimed at upgrading the image of law en
forcement among disadvantaged youngsters. Approved unanimously.
A. Miller moved, R. Alkire seconded, request by Manager Ryan for authorization to
place two special milk promotion ads in two issues each of the Denver Post and theRocky Mountain News, such ads to bear the regular MEDA signature as part of the program
developed by ADA of Colorado under contract with the co-op. Approved unanimously.
A. Miller moved, V. Tribelhorn seconded, request by Manager Ryan for authorization
to move those monies returned to ADA of Colorado from national ADA, and such monies as
have accrued in the "payeble-to-national-ADA" account, into a passbook savings
account so that interest on these monies may be earned pending determination of its
disposition. Approved unanimously.
It was unanimously agreed that the next meeting will be held at the call of Manager
Ryan to avoid possible conflict with co-op district meetings currently being held.
*1fteeting adjourned at 3:45 PM.

The resolution regarding the proposed ADA
and Dairy Council consolidation
is included in the attached highlights report of our fall Board of Directors meeting.
A copy has also gone to your national Board member. You also asked for a "hard and fast" dollar figure on Colorado's equitable
share of the budgets for basic program activities as well as planned national

As evidenced by one of the enclosirres, national ADA has responded to our request for a definite total of charges to be assessed against Colorado for 1969 under the new affiliation agreement which is to be executed before January 1, 1969, by member units which are to remain affiliated.
The total of $36,325 is approximately what we expected — and approximately double
the amount ADA of Colorado has had available for remittance to national ADA under current contracts with organizations which support ADA of Colorado.
Therefore, it comes as no surprise that we're still in the uncomfortable — although by now familiar — position of being between a rock and a hard spot in our relations
with National ADA and the MEDA cooperative.
To use another obvious cliche, we are atafork in the road. Here is the recap: Item I. National ADA has made it clear that the new affiliation agreement
will be used as the uniform instrioment to assure itself of a certain minimum amount of financial support from member units.
Item 2. v;hen we presented the new affiliation agreement to the MEDA board of directors for preliminary discussion and to test that group's sentiment
regarding increasing remittance to national ADA it was found that the
MEDA board considers the affiliation agreement inadequate on at least
three points:
a. Development and application of national advertising/merchandising elements of program — and subsequent charges against member units for them — are assigned to the discretion of the national board
of directors.
b. The new agreement doesn't provide for annual review or renewal but
binds the member unit for an indefinite period, leaving outright
withdrawal by the member unit,-as set up in the national ADA by-laws,
its only alternative to accepting whatever further changes in program or chafges may be decided upon by the national board at some future
date.
c. No provision is made for the member unit to act at its own discretion in developing or applying its own program elements or those which
the member unit might be called upon to develop for its supporting
- 2
-ADA of Colorado's attempts to amend the affiliation agreement, as recorded in the • official acts of the National ADA Fall ;3oard Meeting, were defeated.
In sending the enclosed information in advance —
so it may be studied, thought about
and/or discussed with other producers in your area — it is hoped that we can hold a final duscussion on tliis matter at our next meeting.
Other matters of importance which should bd discussed, also, are our programs and budgets
for 1969, disposition of funds rejected by national ADA this year, requests for repre
sentation on the ADA of Colorado board of directors from out-of-Colorado districtsof MEDA and setting of a date for the 1959 ADA of Colorado Annual Meeting.
It appears it will be at least another week before we can set a date for our next ADA
of Colorado Executive Committee meeting since some of the MEDA district meetings still
haven't been definitely scheduled.
It should be of interest to each of you that our report on advertising and promotion
activities of the past year has been very favorably received at all of the MEDA
district meetings held so far.
Besh/regards, y
