CONTRACT

(Regarding Machine Operations)

THIS AGREEMENT is made and entered into

this 11th day of February, 1958, by and between the DOLORES SOIL

CONSERVATION DISTRICT, organized and existing under and by

virtue of the laws of the State of Colorado, P. 0. Box 698, Cortez, Colorado, party of the first part, hereinafter referred to as

District, and THE MONTEZUMA VALLEY IRRIGATION COMPANY,

a mutual ditch company, organized and existing under and by virtue of the laws of the State of Colorado, Cortez, Colorado, party of the second part, hereinafter referred to as Company;

WHEREAS, District and the Company desire to cooperate in the matter of making available dirt-moving equipment to be used by the Company in the furtherance of Company's business and practices and for the mutual advantage of the District, the

Company, and its share-holders; and

WHEREAS, the District has available and is ready, willing, and able to deliver to Company the following des-cribed dirt-moving equipment, to-wit:

I - D-7 Caterpillar with dozer, No. 4T9655 and;

WHEREAS, said equipment above described is now in the process of being repaired so as to make the same in a good operating mechanical condition;

NOW, THEREFORE, in consideration of the premises, the parties hereto agree as follows:

1. Company shall accept delivery of the Caterpillar unit above described and shall pay or cause to be

paid all transportation and repair expense incurred in moving said unit from place of origin to the warehouse of Company together with the repair costs incurred at McCoy Caterpillar Company, Durango, Colorado.

2. Company shall use said equipment under the supervision of the Superintendent of the Company and the equipment shall be kept in an operating condition at the expense of the Company.

3. As rental and hire, the Co an

pay to the District $ per hour of actual operation,

as determined by the hour meter on the equipment, or such other method as shall be mutually agreed upon.

4. Transportation and repair costs incurred to this date by the Company shall be credited and deducted from the first rents accruing until the rental and hire shall equal the amount assumed by the Company. Thereafter, payment shall be made to the District monthly, i.e. the same shall be paid on or before the 15th day of each month for the month preceding.

5. The term of this agreement shall be for a period of one (1) year from and after date hereof, and thereafter for successive one-year periods until terminated by notice in

writing from either party ninety (90) days prior to the end of the annual period.

EXECUTED at Cortez, Colorado, this 11th day of February, 1958.
