CROSSING AGREEMENT

AGREEMENT made and entered into this 9— day of November, 1966, by and between the MONTEZUMA VALLEY IRRIGATION COMPANY, a

Colorado corporation, hereinafter sometimes referred to as

Grantor, and the MONTEZUMA WATER COMPANY, a non-profit Colorado corporation, hereinafter sometimes referred to as the Grantee. Both parties hereto having their principal offices at Cortez, Colorado.

WITNESSETH:

That the Montezuma Valley Irrigation Company, for and in consideration of the keeping and performing of the covenants, conditions and agreements as hereinafter set forth by the

Montezuma Water Company, does hereby give, grant, license, and authorize the said Montezuma Water Company to build, erect, con-struct, install, maintain, and make crossings with its pipelines of the ditches and canal systems of the Grantor.

Said crossings of the ditches and canals shall be at

locations, and done in accordance with, the maps, plans and speci-fications of the sane all as set forth in Exhibit "A" hereto

attached, incorporated herein, and made a part hereof by reference. Should the Grantee find it necessary to vary from said

Grantor for any and all acts of the Grantee in connection there-with.
