The meeting was convened at 4:40 P.M. by Gary Finstad, Chair, and introductions were made.

Minutes of the February meeting were passed out. I t was noted that the

Denver Water Department's exhibit is not avai lable for use at the APA

conference. With that correction, the minutes were approved.

Ken provided a detai led Treasurer's report (attached).

Gary submitted an itemized statement from Sally White for expenses she's

incurred for XCO! business. A motion was made, seconded and passed to

re i mb u rs e Sa I I y.

The newsletter was discussed briefly. A few copies of a draft were

passed around. Sally expects to be able to get it out nest week

sometime--with any luck. Gary is to write a short article for

inclusion.

The XCO!/MWCI joint "Seminars for 1990" project was discussed briefly. Gary passed around copies of a letter and speaker information sheet

which wi I I be mai led to targeted seminar speakers.

Anna reported on the ALCC Conference

&

Trade Show. The Xeriscape

exhibit was wei I received and al I the brochures were distributed. About

1700 people attended. Anna felt it was important that someone was at

the booth to promote the Plant Focus program. She indicated the

seminars on xeriscape were wei I done.

Gary reported that booth space has been reserved for the American

Planning Association's Annual Conference at Currigan Hall (Apri I 21-25).

Gary encouraged anyone with ideas or materials for an exhibit to contact

him. We' I I also need some volunteers to staff the booth at certain

times.

Anna presented a draft of job description for the Executive Director. She has received lots of information from ALCC and others in working on

this, and wi I I try to have a finished version avai lable for review at

the next meeting. Anyone with ideas or suggestions on this should get

with Anna soon.

Gary commented on the new DWD radio spots promoting water

conservation--and "the water frugals." Ken explained that this represents the first

time in history that the DWD has used paid advertising. A series of

used on RTD buses. Thank you's may best be addressed to Hubert Farbes, the DWB President.

Rumor has it that a future National Geographic issue WI I I include an

article on xeriscape • •

Anna reported there have been requests for Xeriscape "plant tags"--ID

tags placed on plants at nurseries. Ken indicated there is a good

supply of them, but phone numbers I isted on the back wi I I need to be changed or deleted.

Anna also announced that she's finished updating and assembl ing

Xeriscape sl ide shows for use in the Aurora seminar series. She offered

to share the information, and let others dupl icate sl ides.

Carl reported that he's received a new video on "Efficient Water

Management" produced by Cal-Poly, and i t ' s wei I done. Ken indicated the

DWD has a copy, too.

Date and time for the Apri I meeting were discussed. There might be a

confl ict at the DBG due to the plant sale. Ken offered to host the

meeting at the DWD's Three Stones Bui Iding--probably in the Kassler

Room. He offered to show the new Cal-Poly video, too. Next meeting:

Apri I 12, 4:30 -6:00.

The meeting was adjourned at 5:55 P.M.

ARTICLES OF AMENDMENT TO THE

ARTICLES OF INCORPORATION OF

XERISCAPE COLORADO

The FIRST Article of the Articles of Incorporation is amended to read as fol lows:

"FIRST: The name of the corporation is XERISCAPE COLORADO!"

The THIRD Article of the Articles of Incorporation is amended to read as fol lows:

"THIRD: This corporation is organized exclusively for charitable, educational and scientific purposes, including, for such purpos~s,

the making of distributions to organizations that qual ify as exempt organizations under section 501(c} (3) of the Internal Revenue Code, or corresponding section of any future federal tax code."

An EIGHTH Article is added to the original Articles of Incorporation and reads as fol lows:

"EIGHTH: No part of the net earnings of the corporation shal I inure to the benefit of, or be distributed to its members, directors, officers, or other private persons, except that the corporation shal I be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Third hereof. No substantial part of the activities of the corporation shal I be the carrying on of propaganda, or otherwise attempting to influence

legislation, and the corporation shal I not participate in, or intervene in (including the publ ishing or distribution of

statements) any pol itical campaign on behalf of or in opposition to any candidate for publ ic office. Notwithstanding any other

provision of these articles, the corporation shal I not carryon any other activities not permitted to be carried on by a corporation exempt from federal income tax under section SOl(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code."

A NINTH Article is added to the original Article~ of Incorporation and reads as follows:

"NINTH: Upon the dissolution of the corporation, and after

providing for payment of all I iabil ities of the Corporation, assets shal I be distributed to an organization or organizations organized and operated for charitable, educational or scientific purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code. Any such assets not so disposed of shal I be disposed of by the Court having probate jurisdiction over the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said

As chairperson this year, I have acted to develop the organization in four general aspects:

To strengthen and develop the organization as a membership-oriented group, and to participate in the on-going program To establish joint action with other organizations

To develop the application of XERISCAPE principles to issues of the large, public landscape

To respond to the need for XERISCAPE design information (survey of 88 conference)

I carried out the following activities during 1989 on behalf of the organization. They are listed in these separate catetories:

Administration and representing the organization, XERISCAPE education, lobbying, demonstration, and research.

Administration

- Generated an outline of 1989-90 budget and program - Organized monthly meetings and agendas

- Helped arrange for funding by Gard'nwise of new XERICO brochure made arrangements for newsletter article re this

- Received proposals and made inquiries re XERICO participation in national American Planners Association meeting, Denver 1990

- Incorporated the organization

- Established a nominations and election process for a board of directors (1/2 done)

- Provided nomination documents and arranaged award ceremony--ASLA Jane Silverstein Ries Award, Dec. 89

- Proposed a Colorado Xeriscape Archive at Denver Botanic Gardens - Generated part of the 1990 Seminars listing for 1990 Calendar - Received/dispensed funds in absence of Treasurer
